End User License Agreement (EULA)

🔒 The short version: You can use PhoneRestore on your devices. You can't copy it, reverse-engineer it, or use it to spy on people. We own the software; you own your data.

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you ("User") and Silverplate Partners LLC, doing business as PhoneRestore ("Company," "we," "us") for the PhoneRestore mobile application, including the Android application and the iOS companion caregiver application, together with any related documentation, updates, and online services made available through the application (collectively, the "App"). By installing, copying, or using the App, you agree to be bound by this EULA. If you do not agree, do not install or use the App.

Relationship to Other Agreements. This EULA governs your license to use the App as software. Your use of the App and our services is also governed by our Terms of Service and Privacy Policy, which are incorporated into this EULA by reference. In the event of a conflict between this EULA and the Terms of Service, this EULA controls solely with respect to the software license itself; the Terms of Service control for all other matters.

Relationship to App Store Terms. This EULA supplements, and does not replace, the Google Play Terms of Service (for the Android App) and the Apple Media Services Terms and Conditions (for the iOS companion App). In the event of a conflict between this EULA and the applicable app store terms, the app store terms will control to the extent required by Google or Apple.

2. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:

Reservation of Rights. All rights not expressly granted in this EULA are reserved by Silverplate Partners LLC. No rights are granted by implication, estoppel, or otherwise.

3. Restrictions

You may NOT:

Violation of any of these restrictions automatically terminates your license under this EULA.

4. Consent and Caregiver Use

PhoneRestore is designed to be used with the explicit knowledge and consent of the device owner. Detailed consent, capacity, and caregiver responsibility requirements are set forth in Sections 3 and 4 of the Terms of Service, which apply to your use of the App under this EULA. By using the App, you confirm that you have read and agree to comply with those requirements.

5. Accessibility Service

PhoneRestore requests access to Android's Accessibility Service solely to restore certain device settings (such as WiFi, Bluetooth, and Airplane Mode) that cannot be modified through standard Android APIs. This use complies with Google Play's Accessibility Services Policy.

PhoneRestore's use of the Accessibility Service is limited exclusively to restoring device settings to the user's saved baseline. PhoneRestore does NOT use the Accessibility Service to:

You may disable the Accessibility Service permission at any time in your device settings. Doing so will limit the App's ability to restore certain settings automatically.

6. Feature-Specific Terms

The following App features are subject to additional terms set forth in the Terms of Service:

7. Ownership

The App is licensed, not sold. Silverplate Partners LLC and its licensors retain all right, title, and interest in and to the App, including all intellectual property rights (including copyrights, trademarks, patents, trade secrets, and other proprietary rights), whether registered or unregistered. Your data (device settings snapshots, account information, recovered content) remains yours, subject to the terms of our Privacy Policy.

We may release updates to the App from time to time, including bug fixes, security patches, new features, and changes to existing features. You acknowledge and agree that:

9. Third-Party Components and Open Source

The App incorporates certain third-party software components, including open-source software. These components are licensed under their own respective terms, which are made available through the App at Settings → About → Open Source Licenses (or a similar location within the App). Your use of those components is subject to the applicable third-party license terms. To the extent any third-party license terms conflict with this EULA, the third-party license terms will control solely with respect to the corresponding component.

A list of third-party services used to operate the App (such as Google Firebase, Google Play Billing, and Kit/ConvertKit) is provided in Section 11 of the Terms of Service.

10. Apple App Store Terms (Companion iOS App)

If you obtained the companion iOS caregiver app from the Apple App Store, the following additional terms apply to your license, in addition to and not in lieu of the rest of this EULA:

11. Export Compliance

You acknowledge that the App may be subject to U.S. export control laws, including the U.S. Export Administration Regulations and the U.S. International Traffic in Arms Regulations, as well as the export and import laws of other countries. You agree to comply with all applicable export and import laws and regulations. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo or other restriction, and that you are not listed on any U.S. government list of prohibited or restricted parties.

12. U.S. Government End Users

The App and any related documentation are "Commercial Items," as that term is defined at 48 C.F.R. § 2.101, consisting of "Commercial Computer Software" and "Commercial Computer Software Documentation," as such terms are used in 48 C.F.R. § 12.212 or 48 C.F.R. § 227.7202, as applicable. Consistent with 48 C.F.R. § 12.212 or 48 C.F.R. § 227.7202-1 through 227.7202-4, as applicable, the Commercial Computer Software and Commercial Computer Software Documentation are being licensed to U.S. government end users (a) only as Commercial Items and (b) with only those rights as are granted to all other end users under this EULA.

13. Children

The App is not directed at children under 13. We do not knowingly collect personal information from children under 13. If you are under 13, you may not use the App. If you are a parent or guardian and believe your child under 13 has used or installed the App, please contact us at legal@getphonerestore.com and we will take appropriate action.

14. Termination

This EULA is effective until terminated. Your rights under this license will terminate automatically and immediately if you fail to comply with any term of this EULA. We may also terminate or suspend your license at our reasonable discretion as described in the Terms of Service.

Upon termination, you must cease all use of the App and uninstall it from all devices. Sections of this EULA that by their nature should survive termination — including Sections 3 (Restrictions), 7 (Ownership), 15 (Disclaimers and Liability, by reference), 16 (Dispute Resolution, by reference), and 17 (Governing Law, by reference) — will survive.

Termination of this EULA does not entitle you to a refund of any prepaid subscription fees; subscription cancellation is governed by Section 12 of the Terms of Service and the Google Play cancellation terms.

15. Disclaimers and Limitation of Liability

The disclaimers of warranties and limitations of liability set forth in Sections 14 and 15 of the Terms of Service apply to this EULA and to your use of the App under this EULA. Without limiting the foregoing:

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. SILVERPLATE PARTNERS LLC'S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA IS LIMITED AS SET FORTH IN SECTION 15 OF THE TERMS OF SERVICE.

16. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to this EULA or your use of the App is subject to the Dispute Resolution and Arbitration provisions set forth in Section 19 of the Terms of Service, including the informal resolution requirement, binding individual arbitration, class action waiver, small claims court carveout, mass arbitration coordination, and opt-out right described therein. Those provisions are incorporated into this EULA by reference and apply with equal force.

Please read Section 19 of the Terms of Service carefully. It affects your legal rights, including your right to file a lawsuit in court and your right to participate in a class action.

17. Governing Law

This EULA shall be governed by the laws of the State of New York, without regard to its conflict of law provisions. To the extent any dispute is not subject to arbitration as provided in Section 16 above, any legal action or proceeding arising under this EULA shall be brought exclusively in the courts located in New York County, State of New York, or if federal jurisdiction applies, the United States District Court for the Southern District of New York. Nothing in this section limits the rights of EU/EEA, UK, or California users to seek relief under their applicable local laws where such rights cannot be waived by contract.

18. Miscellaneous

Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Silverplate Partners LLC with respect to the App and supersedes all prior agreements, understandings, and negotiations.

Severability. If any provision of this EULA is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of this EULA will remain in full force and effect.

No Waiver. Our failure to enforce any right or provision of this EULA will not be deemed a waiver of that right or provision.

Assignment. You may not assign or transfer this EULA without our prior written consent. We may assign this EULA without restriction.

Headings. Section headings are for convenience only and do not affect interpretation.

19. Changes to This EULA

We may update this EULA from time to time. If we make material changes, we will notify you through the App, by email, or by other reasonable means, and update the "Last Updated" date at the top of this page. Material changes will take effect no sooner than 30 days after notice, except where a shorter period is required by law or to address a security issue. Continued use of the App after changes take effect constitutes acceptance of the updated EULA.
